1. INTRODUCTION AND ACCEPTANCE

These Terms and Conditions ("Terms") govern your access to and use of the website located at www.malikallsopmusic.com ("the Website"), operated by MALIK ALLSOP MUSIC LTD ("the Company", "we", "us", "our").

By accessing the Website, creating an account, purchasing a product or service, or enrolling in any program offered through the Website, you ("the User", "you", "your") agree to these Terms in full. These Terms form a legally binding agreement between you and MALIK ALLSOP MUSIC LTD.

MALIK ALLSOP MUSIC LTD operates as a company registered in the Republic of Trinidad and Tobago. Products and services sold through this Website carry international reach across the United States of America, the United Kingdom, the Caribbean region, and globally.

3. PRODUCTS AND SERVICES

The Website offers the following categories of products and services:

3.1 Event Passes

MALIK ALLSOP MUSIC LTD, in association with H1GHEST STUDIOS LLC, offers event passes for live performances under the series title Confession of Interest | The Residency and any subsequent live event productions.

Event pass tiers include General Pass, Sovereign Pass, H1GHEST Pass, and Founding Pass. Each tier carries specific inclusions, benefits, access levels, and limitations as described on the relevant product page at the time of purchase.

Event passes grant the purchaser a license to attend the specified event on the specified date at the specified venue. This license is personal and non-transferable unless the Company expressly permits transfer in writing.

3.2 Music Production Services

MALIK ALLSOP MUSIC LTD offers professional music production services including but not limited to:

- Beat licensing (non-exclusive and exclusive)
- Full track production
- EP and album production packages
- Mixing and mastering services
- Electronic press kit production
- Artist branding packages
- Lyric video production
- Music video production

All production services are governed by a separate Production Agreement issued at the time of engagement. These Terms apply in conjunction with any Production Agreement.

3.3 Sync Licensing

MALIK ALLSOP MUSIC LTD offers synchronization licenses for the use of musical works in film, television, advertising, documentary, and digital media productions. All sync licenses are governed by a separate Sync License Agreement. Inquiries for custom sync licensing route through the contact form on the Website.

3.4 SONICPRINT™ Vocal Academy

The Website offers enrollment in the SONICPRINT™ Vocal Academy, a structured vocal development and performance coaching curriculum. SONICPRINT™ programs are delivered online. Enrollment tiers include Foundation, Sovereign, Retainer, Children's Program, and Corporate Workshop.

SONICPRINT™ is a trademark and proprietary methodology. Enrollment in SONICPRINT™ programs grants the student a personal, non-transferable license to access the curriculum for the duration of the enrolled term. The curriculum, all instructional materials, audio exercises, video content, and methodology documentation remain the intellectual property of the Company and its affiliated publishing entity.

3.5 Merchandise

The Website offers physical merchandise including apparel, accessories, signed collectibles, and limited edition prints. Physical merchandise orders are fulfilled by the Company's authorized fulfillment partners. Shipping timelines and policies are detailed in Section 9.

3.6 Digital Downloads

The Website may offer digital products including but not limited to stems, sample packs, lyric videos, and digital collectibles. All digital downloads are delivered to the email address provided at checkout. Digital products are non-refundable once delivered.

4. ACCOUNT REGISTRATION

4.1 Account Creation

Certain features of the Website, including purchasing products and enrolling in programs, require you to create an account. You agree to provide accurate, current, and complete information during registration and to update that information to maintain its accuracy.

4.2 Account Security

You bear full responsibility for maintaining the confidentiality of your account credentials. You agree to notify us immediately at [email protected] if you become aware of any unauthorized use of your account.

4.3 Account Termination

The Company reserves the right to suspend or terminate any account that violates these Terms, engages in fraudulent activity, or causes harm to the Company, its affiliates, or other users.

5. PRICING AND PAYMENT

5.1 Currencies

Products and services on this Website carry prices in United States Dollars (USD), Pounds Sterling (GBP), and Trinidad and Tobago Dollars (TTD) where applicable. The currency displayed at checkout reflects the currency configuration for the product selected.

5.2 Payment Processors

The Website processes payments through the following authorized payment providers:

Stripe, Inc. - processes USD and GBP transactions. Stripe operates under its own Terms of Service and Privacy Policy, available at stripe.com. By completing a transaction through Stripe, you agree to Stripe's terms.

WiPay Financial - processes TTD and Caribbean regional transactions. WiPay operates under its own Terms of Service and Privacy Policy, available at wipayfinancial.com. By completing a transaction through WiPay, you agree to WiPay's terms.

The Company does not store your full payment card details. All payment data processes through the encrypted environments of Stripe and WiPay respectively.

5.3 Pricing Changes

The Company reserves the right to adjust pricing at any time. Price changes do not affect orders already confirmed and paid.

5.4 Taxes

Prices displayed on the Website may or may not include applicable taxes depending on your jurisdiction. Where taxes apply:

- United States purchases: applicable state and local sales tax applies at checkout
- United Kingdom purchases: UK Value Added Tax (VAT) at the applicable rate applies
- Trinidad and Tobago purchases: applicable VAT at the current T&T rate applies

You bear responsibility for any additional taxes, duties, or import fees applicable in your jurisdiction beyond those collected at checkout.

5.5 Failed Payments

In the event of a failed payment, your order will not be confirmed. The Company bears no liability for access or fulfillment delays arising from payment failure.

6. EVENT PASSES - SPECIFIC TERMS

6.1 Pass Validity

Each event pass grants access to one specific event on one specific date at one specific venue. Passes carry no cash value and the Company issues no cash equivalents for unused passes.

6.2 Non-Transferability

Event passes are personal to the purchaser unless the Company expressly permits transfer in writing. The Company reserves the right to refuse entry to any person presenting a pass that the Company determines has been transferred in violation of these Terms.

6.3 Founding Pass - Special Terms

Founding Pass holders acknowledge that:

- The Founding Pass tier carries a strictly limited quantity of twenty passes per show
- Inclusions such as the private pre-show reception, post-show debrief, physical lanyard, signed numbered poster, and programme name credit require the holder to provide accurate personal information at checkout
- The Company collects the holder's full legal name for programme printing purposes
- The Company collects a mailing address for physical item dispatch
- Physical items dispatch a minimum of two weeks prior to the show date
- The post-show debrief runs for a maximum of twenty minutes following the final encore
- The Founding Pass is non-refundable once purchased except in the circumstances described in Section 6.5

6.4 H1GHEST Pass - Special Terms

H1GHEST Pass holders acknowledge that:

- The H1GHEST Pass tier carries a strictly limited quantity of fifty passes per show
- The pre-show meet and greet occurs thirty minutes before general doors open
- Signed merchandise bundle collection occurs at the meet and greet
- Late arrival forfeits the meet and greet element without entitlement to refund or compensation

6.5 Event Cancellation and Postponement

In the event that a scheduled performance cancels due to circumstances within the Company's control, the Company will offer pass holders a full refund to the original payment method within fourteen business days of the cancellation announcement.

In the event that a scheduled performance postpones, pass holders may apply their passes to the rescheduled date or request a full refund within thirty days of the postponement announcement.

In the event that a scheduled performance cancels due to circumstances beyond the Company's control including but not limited to force majeure events, venue closure, government restriction, natural disaster, or artist incapacitation, the Company will offer a credit toward a future event of equivalent value. The Company bears no liability for travel, accommodation, or consequential costs incurred by pass holders in connection with cancelled or postponed events.

6.6 Venue Rules

Pass holders agree to comply with all rules and regulations of the event venue. The Company and its venue partners reserve the right to refuse entry or remove any person who violates venue rules, engages in disruptive behavior, or poses a safety risk, without refund.

6.7 Recording and Photography

General recording and photography for personal non-commercial use is permitted unless otherwise communicated at the venue on the event date. Commercial recording, live streaming, or broadcast of any performance without written authorization from MALIK ALLSOP MUSIC LTD and H1GHEST STUDIOS LLC is strictly prohibited.

7. SONICPRINT™ ACADEMY - SPECIFIC TERMS

7.1 Enrollment and Access

Upon successful enrollment and payment, the student receives access to the SONICPRINT™ curriculum for the duration of the enrolled term. Monthly enrollments renew automatically on the same calendar date each month until the student cancels.

7.2 Cancellation of Enrollment

Monthly SONICPRINT™ enrollments cancel with a minimum of seven days written notice before the next billing date. Notice must be submitted to [email protected]. Annual enrollments carry no mid-term cancellation option. The Company issues no partial refunds for unused months within an annual enrollment term.

7.3 Curriculum Ownership

All SONICPRINT™ curriculum content - including instructional videos, audio exercises, written materials, and session recordings - constitutes proprietary intellectual property of the Company and its affiliated entities. Students receive a personal, non-transferable license to access and use this content for personal development purposes only. Students may not reproduce, distribute, sublicense, sell, or publicly perform any portion of the curriculum.

7.4 Children's Program

Enrollment in the SONICPRINT™ Children's Program for students under the age of eighteen requires the express consent of a parent or legal guardian. The parent or guardian who completes enrollment on behalf of a minor accepts these Terms on the minor's behalf and bears full responsibility for compliance.

7.5 Corporate Workshop

Corporate Workshop bookings require a separate written engagement letter confirming the workshop date, format, number of participants, and delivery method. The engagement letter supplements these Terms. Payment for Corporate Workshop bookings is due in full a minimum of fourteen days before the scheduled workshop date.

8. MUSIC PRODUCTION SERVICES - SPECIFIC TERMS

8.1 Production Agreement

All music production services require execution of a Production Agreement before work commences. The Production Agreement specifies deliverables, revision rounds, timelines, split sheets where applicable, and credit requirements.

8.2 Beat Licenses

Non-Exclusive Beat License: The purchaser receives a limited license to use the purchased instrumental in one commercial recording. The Company retains the right to sell the same instrumental to other licensees. The Company retains the underlying composition copyright. The non-exclusive license requires the purchaser to credit MALIK ALLSOP MUSIC LTD as producer on all commercial releases.

Exclusive Beat License: Upon full payment, the purchaser receives an exclusive license to the purchased instrumental. The Company removes the instrumental from further licensing to third parties upon payment confirmation. The Company retains the underlying composition copyright. The exclusive license requires the purchaser to credit MALIK ALLSOP MUSIC LTD as producer on all commercial releases. The exclusive license does not convey copyright ownership of the underlying composition to the purchaser.

8.3 Revision Policy

Production service packages include a specified number of revision rounds as stated on the product page. Revisions beyond the included rounds carry an additional fee agreed in writing before additional work commences.

8.4 Delivery Timelines

Estimated delivery timelines appear on each production service product page. These timelines represent good faith estimates. The Company bears no liability for delays arising from circumstances beyond its control including but not limited to illness, equipment failure, or third party delays.

8.5 Credit Requirements

All productions delivered by MALIK ALLSOP MUSIC LTD require the following credit on all commercial releases, physical and digital:

Failure to apply correct production credit constitutes a breach of the production license.

9. SHIPPING AND PHYSICAL MERCHANDISE

9.1 Processing Time

Physical merchandise orders process within three to five business days of payment confirmation. Processing time excludes shipping transit time.

9.2 Shipping Regions

The Company ships physical merchandise to Trinidad and Tobago, the wider Caribbean region, the United States of America, the United Kingdom, and select international destinations. Available shipping destinations display at checkout.

9.3 Shipping Costs

Shipping costs calculate at checkout based on destination, weight, and selected shipping method. The Company bears no responsibility for customs duties, import taxes, or additional fees levied by the destination country's customs authority. These costs fall entirely to the recipient.

9.4 Risk of Loss

Risk of loss and title to physical merchandise passes to the purchaser upon dispatch from the Company's fulfillment partner. The Company bears no liability for loss, damage, or delay caused by the shipping carrier after dispatch.

9.5 Founding Pass Physical Items

Physical items included with the Founding Pass - specifically the lanyard pass and signed numbered poster - dispatch a minimum of two weeks before the event date to the mailing address provided at checkout. The purchaser bears responsibility for providing an accurate mailing address. The Company bears no liability for non-delivery arising from an inaccurate address provided by the purchaser.

10. REFUND POLICY

10.1 Event Passes

Event passes are non-refundable except in the circumstances described in Section 6.5 regarding event cancellation or postponement.

10.2 Digital Products

Digital products including beat licenses, digital downloads, and digital pass deliveries are non-refundable once delivered to the purchaser's email address.

10.3 Physical Merchandise

Physical merchandise is eligible for exchange or store credit within fourteen days of confirmed delivery where the item arrives damaged or defective. The purchaser must notify the Company at [email protected] within fourteen days of delivery with photographic evidence of the damage or defect. The Company issues no refunds for change of mind on physical merchandise purchases.

10.4 Production Services

Production service deposits are non-refundable. Where a production service engagement terminates before completion, the Company retains all fees paid for work completed to the date of termination. Any remaining balance owed for work not yet commenced is released.

10.5 SONICPRINT™ Academy

Monthly SONICPRINT™ enrollments carry no refund for the current billing period once the period commences. Annual SONICPRINT™ enrollments carry no refund after enrollment activation.

11. INTELLECTUAL PROPERTY

11.1 Ownership

All content on this Website including but not limited to text, graphics, logos, images, audio clips, video content, digital downloads, data compilations, and software constitutes the property of MALIK ALLSOP MUSIC LTD, H1GHEST STUDIOS LLC, or their respective content suppliers and carries protection under applicable intellectual property laws.

11.2 SONICPRINT™ Trademark

SONICPRINT™ is a trademark of the Company and its affiliated entities. Unauthorized use of the SONICPRINT™ name, methodology, or associated marks in any commercial context is prohibited.

11.3 H1GHEST STUDIOS LLC

Music released through this Website carries publishing rights administered by H1GHEST STUDIOS LLC. All rights reserved. Unauthorized reproduction, distribution, or public performance of any music released under H1GHEST STUDIOS LLC without a valid sync or performance license constitutes copyright infringement.

11.4 KOZMIQMIND™

KOZMIQMIND™ is a trademark of KOZMIQMIND™ LLC. References to KOZMIQMIND™ on this Website appear for informational purposes. The KOZMIQMIND™ framework, methodology, and associated intellectual property remain the exclusive property of KOZMIQMIND™ LLC.

11.5 User Content

Where the Website permits users to submit content including reviews, comments, or testimonials, the user grants the Company a non-exclusive, royalty-free, perpetual, worldwide license to use, reproduce, modify, and display that content in connection with the Company's business operations.

12. PRIVACY AND DATA PROTECTION

12.1 Privacy Policy

The Company's collection and use of personal data governs under the Privacy Policy, accessible at www.malikallsopmusic.com/privacy. The Privacy Policy forms part of these Terms by reference.

12.2 Payment Data

The Company does not store full payment card numbers. All payment transactions process through the encrypted environments of Stripe, Inc. and WiPay Financial. Each processor operates under its own data protection standards and privacy policies.

12.3 Personal Data for Event Passes

Founding Pass purchasers provide their full legal name and mailing address at checkout. The Company uses this information exclusively to fulfill Founding Pass inclusions - specifically programme name credit and physical item dispatch. The Company does not sell or share this data with third parties outside of the fulfillment process.

12.4 Communications

By creating an account or completing a purchase on the Website, you consent to receive transactional communications from the Company including order confirmations, delivery notifications, and event updates. You may opt out of marketing communications at any time by clicking the unsubscribe link in any marketing email or by contacting [email protected].

13. PROHIBITED CONDUCT

17. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms govern under the laws of the Republic of Trinidad and Tobago. For users accessing the Website from the United States, matters relating to H1GHEST STUDIOS LLC's operations govern under the laws of the United States of America.

17.2 Dispute Resolution

The parties agree to attempt to resolve any dispute arising under these Terms through good faith negotiation before initiating formal proceedings. Written notice of any dispute must be submitted to [email protected] before any formal claim commences.

17.3 Jurisdiction

For disputes that proceed to formal legal proceedings, you consent to the exclusive jurisdiction of the courts of the Republic of Trinidad and Tobago for matters governed by T&T law, and the courts of the United States of America  for matters governed by US law.
